Spark Terms of Service

Effective Date: January 1, 2025

These Terms of Service ("Terms") govern your use of the Spark mobile application ("Service") operated by Spark ("we," "us," or "our"). By using Spark, you agree to these Terms.

1. The Service

Spark is an AI-powered date planning and booking service. We help couples plan and book date nights by:

• Generating personalized date ideas via an AI agent
• Making restaurant reservations through OpenTable and Resy
• Surfacing childcare options through SitterCity and Care.com
• Sending booking confirmations and reminders via SMS and email
• Syncing date events to Google Calendar

2. Accounts

2.1 Eligibility

You must be at least 18 years old to use Spark.

2.2 Account Security

You are responsible for maintaining the confidentiality of your credentials. Notify us immediately at [email protected] if you suspect unauthorized access.

2.3 Accurate Information

You agree to provide accurate, current information. False information may result in account termination.

3. Subscriptions and Payments

3.1 Free Plan

The free plan includes up to 3 AI-planned dates per month with basic booking features.

3.2 Paid Plans

• Spark: $9.99/month — unlimited dates, priority booking, calendar sync, SMS/email
• Spark Pro: $19.99/month — all Spark features plus voice AI, childcare matching, white-glove booking

3.3 Billing

Subscriptions are billed monthly or annually in advance. Payments are processed by Stripe.

3.4 Cancellation

Cancel anytime in the app (Profile → Manage Subscription). You retain access through the end of your paid period. No refunds for partial periods.

3.5 Deposits

Some venues require booking deposits. These are charged directly via our Stripe integration and are subject to the venue's own cancellation policy.

4. Bookings and Third-Party Services

4.1 Booking as Agent

When you approve a date plan, Spark makes reservations on your behalf as your agent. You remain the party to the booking contract with the venue or service provider.

4.2 Cancellations and No-Shows

Venue cancellation policies vary. Spark will display the cancellation policy before you approve a booking. Late cancellations and no-shows may result in charges from the venue directly.

4.3 Third-Party Platform Terms

Bookings made through OpenTable, Resy, SitterCity, and Care.com are also subject to those platforms' own terms of service.

4.4 No Guarantee of Availability

Spark cannot guarantee that specific venues, times, or childcare providers will be available. If a booking fails, we will attempt to find an equivalent alternative.

5. AI Agent

5.1 Nature of AI

Spark's AI agent is powered by large language models and may occasionally provide inaccurate venue information or make planning errors. Always verify critical details (addresses, hours, pricing) independently.

5.2 No Professional Advice

The AI agent does not provide medical, legal, financial, or professional advice.

5.3 Conversation Data

Conversations with the AI agent are stored for 90 days to maintain context across sessions, then anonymized. See our Privacy Policy.

6. Childcare

6.1 Matching Only

Spark facilitates introductions to childcare providers through SitterCity and Care.com. We do not vet, endorse, or employ childcare providers.

6.2 Your Responsibility

You are solely responsible for evaluating, selecting, and supervising any childcare provider you engage through Spark. Always conduct your own background check and interview before leaving children in a provider's care.

6.3 No Liability for Childcare

Spark is not liable for any acts or omissions of childcare providers found through our Service.

7. Acceptable Use

You agree not to:

• Use Spark for any unlawful purpose
• Attempt to reverse-engineer, hack, or disrupt the Service
• Create fake accounts or misrepresent your identity
• Use the AI agent to generate harmful, abusive, or illegal content
• Resell or commercially exploit the Service without our written permission

8. Intellectual Property

The Spark app, brand, and AI-generated content are owned by Spark. You may not copy, modify, or distribute them without permission.

Content you create (ratings, memories, notes) remains yours. You grant us a license to display it within the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT BOOKINGS WILL ALWAYS SUCCEED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO FAILED BOOKINGS, VENUE CHANGES, OR CHILDCARE ISSUES.

Our total liability to you shall not exceed the amount you paid us in the 3 months before the claim arose.

11. Indemnification

You agree to indemnify and hold Spark harmless from any claims arising from your use of the Service, violation of these Terms, or your interactions with third-party service providers (venues, sitters).

12. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time in the app.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved through binding arbitration under the American Arbitration Association rules, except that either party may seek injunctive relief in court.

Class Action Waiver: You agree to resolve disputes individually, not as part of a class action.

14. Changes to Terms

We will notify you of material changes 30 days in advance via email and in-app notification. Continued use constitutes acceptance.
